Terms of Service
Clinico Billing Terms and Conditions ("Agreement") govern your use of our medical billing and coding services ("Services"). By accessing or using the Services, you agree to comply with and be bound by this Agreement.
Definitions
Client:The healthcare provider or practice using Clinico Billing services.
Services:Medical billing, coding, claims submission, denial management, and related administrative support provided by Clinico Billing.
Confidential Information:Patient data, billing records, proprietary business information shared between Client and Clinico Billing.
Fees:Charges payable by Client for Services as outlined in the Fee Schedule.
Scope of Services
Clinico Billing agrees to provide comprehensive medical billing and coding Services, including but not limited to:
- Submission of claims to payers
- Follow-up on pending claims
- Denial management and appeals
- Patient invoicing and payment posting
- Reporting and analytics
Services will be performed in the Client’s name using Client-specific billing identifiers.
Client Responsibilities
- Provide accurate, complete patient and service information promptly for billing purposes.
- Maintain all original source documents supporting billed services.
- Respond timely to requests for documentation or clarifications necessary for claim processing.
- Ensure compliance with all applicable laws and payer guidelines for service eligibility and medical necessity.
- Notify Clinico Billing immediately of any changes in practice operations or payer contracts affecting billing
Fees and Payment Terms
- Fees for services are based on a fixed percentage of net collections or a flat monthly rate as detailed in the Client Agreement.
- Invoices are issued monthly and due within 30 days from receipt.
- Late payments may incur interest charges or service suspension until resolved.
- Additional fees may apply for special services such as collections on past due accounts or patient statement mailing.
Confidentiality and Data Security
Clinico Billing commits to maintaining the confidentiality of all Client and patient information in accordance with HIPAA and applicable privacy laws. Data will be used solely for the purposes of providing Services and protected through secure technologies and restricted access. Breaches of confidentiality will be reported promptly, with remedial actions undertaken.
Limitations and Disclaimers
Clinico Billing makes no guarantees on reimbursement timelines or amounts, as final payer decisions are outside its control. The Client retains ultimate responsibility for service coding accuracy and compliance despite Clinico Billing’s thorough efforts. Clinico Billing is not liable for claim denials, payment delays, or regulatory penalties resulting from Client-provided inaccurate or incomplete information.
Term and Termination
This Agreement commences upon acceptance and continues until terminated by either party with 30 days written notice. Termination does not relieve Client of outstanding payment obligations for Services rendered. Clinico Billing may terminate immediately for cause, including fraud, material breach, or non-payment.
Intellectual Property
All intellectual property rights in content, reports, and software used by Clinico Billing remain with their respective owners.
- Client is granted a limited, non-exclusive license to use reports and data solely for internal business purposes.
- Unauthorized copying, distribution, or commercial use without permission is prohibited.
Indemnification
Client agrees to indemnify and hold Clinico Billing harmless from any claims, damages, or losses arising from inaccurate information provided. Clinico Billing will not be liable for indirect damages resulting from claim denials, billing errors, or delayed payments.
Limitation of Liability
Clinico Billing’s maximum liability under this Agreement is limited to fees paid by Client during the prior set months. Under no circumstances shall Clinico Billing be liable for lost profits, incidental, consequential, or punitive damages.
Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the state where Clinico Billing is incorporated, without regard to conflict of law principles. Disputes shall be resolved first through informal negotiation, followed by mediation or binding arbitration if needed.
Force Majeure
Neither party will be liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, strikes, or government actions.
Amendments
Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
Entire Agreement
This Agreement constitutes the entire understanding between Client and Clinico Billing regarding the Services and supersedes all prior communications or agreements.
Severability
If any provision is held invalid, the remainder of this Agreement shall continue in full force and effect.
Client Acknowledgment
Client acknowledges having read, understood, and agreed to all Terms and Conditions before engaging Clinico Billing services.
Privacy and Data Protection
Clinico Billing is committed to protecting patient and Client data in accordance with HIPAA and other applicable privacy laws. We employ administrative, technical, and physical safeguards to secure information from unauthorized access or disclosure. Our privacy practices are detailed in our separate Privacy Policy, which forms part of this Agreement by reference.
Billing and Payment Disputes
Clients must notify Clinico Billing in writing of any billing disputes within 15 days of invoice receipt. We will investigate and resolve disputes promptly and fairly. Failure to dispute within this time frame shall constitute acceptance of the invoice. Payments not contested timely manner are due in full.
Data Retention and Access
Clinico Billing will retain billing records and documentation for a minimum of seven years or as legally required. Clients may request access to these records during reasonable business hours with prior notice. All data remains Client property, and Clinico Billing will return or dispose of data securely upon termination.
Access and Software Use
Clients grant Clinico Billing reasonable access to practice management or electronic health record systems necessary to perform Services. Clinico Billing agrees to abide by all security protocols imposed by the Client to safeguard system integrity, data confidentiality, and patient privacy.
Electronic Communications
By engaging Clinico Billing services, the Client consents to electronic communications, including emails, electronic invoices, and data transmissions necessary for service delivery.
Termination Procedures
Upon termination, Clinico Billing will cooperate in transitioning billing activities to the Client or a third party within a reasonable timeframe. Outstanding fees remain due, and Clinico Billing may withhold documentation until payment is settled.
